MonetizeAI Terms of Service

Welcome to MonetizeAI, a platform operated by Alaivi Ltd (company registered in England and Wales). These Terms of Service explain your rights and responsibilities when you use our websites, applications, products, services, software, tools, content and documentation (the Platform).

By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.

Who these Terms cover

User means anyone who uses the Platform.
A User may act as a Creator when creating, publishing or monetising AI agents, and as a Subscriber when discovering, purchasing, or using AI agents. The same person can be both.

If you use the Platform for a business, you confirm you have authority to bind that business, and both you and the business are responsible for your account.

Your account

Registration. You must provide accurate and up-to-date information. You are responsible for all activity on your account.

Security. Keep your password secret. Do not share or sell access. Tell us immediately if you think your account is compromised.

Our rights. We may approve, restrict, suspend, or terminate any account or access where we believe there is a breach, risk of harm, legal requirement, investigation, or for operational reasons.

Using MonetizeAI

What you can do. Users can create, publish and monetise AI agents, and other Users can discover, subscribe to, and use those agents, including by spending tokens. Agents may use tools, plugins and external APIs to perform tasks.

Intermediary role. MonetizeAI provides the Platform as an intermediary. Contracts for use of a Creator’s agent are between the Creator and the Subscriber. We are not a party to those contracts, although we provide payments infrastructure and rules for use.

Changes and maintenance. We may launch, change, suspend, or discontinue features, apply upgrades, and perform maintenance. Where reasonably expected to have a material effect, we will try to give advance notice.

Tokens and pricing

Tokens. Some features require spending Tokens. Tokens are priced from USD $0.01 each and subject to change. Minimum top-up is USD $5. We may change token pricing, bundles, earning, and spending rules.

Not money. Tokens are not legal tender, e-money, cryptocurrency, stored value, or a deposit. They have no cash value, are non-transferable (unless we say otherwise), and cannot be redeemed for cash.

No refunds. Token purchases are non-refundable. We may, at our discretion, grant a goodwill refund or credit. Deleting your account does not entitle you to a refund.

Fees and taxes. We may charge fees to Users for access to features. Prices shown may exclude taxes and ancillary charges, which will be shown at checkout where applicable. You are responsible for any taxes that apply to your use.

Future creator plans. We may introduce creator subscription plans in future. If we do, the applicable terms and prices will be shown in the Platform.

Creators, payouts and withholding

Commission. We charge a 15% commission on Creator earnings, with a minimum commission of USD $2 per transaction.

Payouts. Payouts are processed via Stripe Connect to eligible countries, subject to Stripe’s terms, onboarding, and verification. Minimum payout is USD $20. Payouts are made on a monthly schedule.

Payout fees. There may be associated fees or deductions on payouts, including payment processing and transfer fees. These will be disclosed where applicable and may be deducted before funds reach you.

Withholding and set-off. We may withhold, delay, or set off payouts if we investigate fraud, chargebacks, policy breaches, infringement claims, unlawful activity, or where required by law, or to recover amounts you owe us.

Your responsibilities as a Creator.

• You are responsible for the quality, safety, legality, accuracy and fitness of your agents and the information you publish.

• Your agents must comply with all applicable laws and third-party rights.

• You will provide timely support, updates and fixes for your listed agents and keep descriptions accurate.

Content and IP

Your content. You retain ownership of your prompts, instructions, descriptions, names, logos, datasets and other materials that you upload or provide (User Content). You must back up your own content. We are not obliged to store or return it.

Your agents. Creators retain ownership of their AI agents, including prompts, logic, and configurations.

Your licence to us. You grant MonetizeAI a worldwide, non-exclusive, transferable, sublicensable, royalty-free, perpetual licence to host, run, use, copy, cache, translate, adapt, modify, test, display, and distribute your User Content and agents:

• to operate, provide and secure the Platform

• to promote MonetizeAI and the marketplace

• to improve the Platform and develop new products and services, including model and feature training, evaluation and safety

• to create, host or surface templates or derivative configurations for other Users, where these are reasonably derived from your agent’s functional design rather than your confidential business information

If you wish to opt out of promotional reuse of your agent artefacts, contact us via the Platform settings or support. This does not limit our right to use content for operating the Platform, safety, compliance, fraud prevention, dispute resolution, or legal obligations.

Third-party rights. You promise you have all rights needed to grant the above licence and that your content does not infringe anyone’s rights. You will not upload content that requires us to open source our code or license materials to others on terms we have not accepted.

Takedown. We may remove or restrict content or agents that we believe breach these Terms, laws, court orders, or third-party rights, or create risk to Users or the Platform.

Third-party services and tools

The Platform may enable access to third-party services, including AI model providers, plugins, APIs, file stores and workflow tools (Third-Party Services).

• Third-Party Services are provided by others under their own terms and privacy policies.

• Your content may be transmitted to Third-Party Services so that features work as intended.

• We may enable, change, suspend or remove integrations at any time.

• You use Third-Party Services at your own risk. We are not responsible for their availability, security, accuracy, or outputs.

Acceptable use

You must not, and must ensure your agents do not:

• Break the law, infringe intellectual property, privacy, publicity or other rights

• Upload illegal, defamatory, obscene, harmful, hateful, harassing, or misleading content

• Engage in scams, phishing, spam, or attempts to hide identity or impersonate others

• Submit prompt injections or other inputs intended to circumvent controls

• Introduce malware, viruses, trojans or other harmful code

• Probe or attack our security, overload our infrastructure, or scrape the Platform

• Bypass fees, rate limits, or usage controls

• Build or help build products that unfairly compete with the Platform using our confidential information, scraping, or cloning of listings

• Use agents in dangerous or high-risk environments, critical systems, or for purposes that could cause serious harm

Sensitive data. We strongly advise you not to submit sensitive personal data into agents. If you choose to do so, it is entirely at your own risk and liability.

Regulated activities. You must follow all laws. If your agent touches regulated areas (for example financial, medical, or legal contexts), you are responsible for ensuring the agent and any claims about it are lawful, accurate, and compliant. We may moderate or delist agents at our discretion.

Data and privacy

Please read our Privacy Policy which forms part of these Terms.

• We may process personal data to operate, secure and improve the Platform.

• We may use anonymised or aggregated data for analytics, product improvement and AI training.

• User data may be sent to Third-Party Services so that features work as intended.

• We will provide a Data Processing Addendum where required.

• Do not collect personal data from Users outside the Platform’s provided mechanisms.

AI outputs and your reliance on them

AI is probabilistic. Outputs may be inaccurate, incomplete, inappropriate, or lack context. Do not rely on outputs as a sole source of truth or as professional advice. You are responsible for evaluating outputs, including performing human review where needed. MonetizeAI does not endorse outputs and is not responsible for decisions you make based on them.

Payments and billing

Payments are processed by licensed payment service providers. By adding a payment method you confirm you are authorised to use it and authorise charges for purchases, fees, taxes and adjustments. If a payment fails or is reversed, we may suspend access to paid features or agents.

Refunds

Unless the law requires otherwise, all purchases, including Token purchases, are non-refundable, except where we decide, at our discretion, to issue a credit or refund.

Reporting infringements

If you believe content on the Platform infringes your rights, contact us with details of the work, the allegedly infringing material, where it appears, and your contact information. We may share your notice with the User who posted the material.

Suspension and termination

You may delete your account at any time through settings, except where you have active subscriptions, active agents, unresolved disputes, or outstanding amounts.

We may suspend or terminate access, remove content, delist agents, block deployments, or withhold payouts if we believe there is a breach of these Terms, risk, fraud, unlawful activity, or as required by law. We may retain certain data after termination for legal, audit, safety, fraud prevention or record-keeping purposes.

Our responsibilities and limits

No warranties. The Platform is provided as is and as available. We do not promise it will be uninterrupted, secure, or error free.

Limitation of liability. To the maximum extent allowed by law, we are not liable for: loss of profits, revenue, business, goodwill, data, or any indirect or consequential losses. Our total liability to you for all claims in any 12-month period is limited to GBP £100.

Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold harmless Alaivi Ltd and its officers, directors, employees and agents from any claims, losses, costs and expenses (including legal fees) arising from: your content, your agents, your use of the Platform, your breach of these Terms or law, your misuse of Third-Party Services, or any dispute between you and another User.

Changes to these Terms

We may update these Terms. We will try to notify Users of material changes, and will update the “Last updated” date. Continued use after changes take effect means you accept the new Terms.

Legal terms

Governing law and venue. These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes, subject to any mandatory consumer rights you have in your country of residence.

Class actions. To the extent permitted by law, you and we agree to bring claims only on an individual basis, not as a claimant or member in a class or representative action.

Eligibility. You must be 18 or older to use the Platform.

Assignment. You may not assign these Terms. We may assign these Terms to an affiliate or in connection with a merger, acquisition or asset sale.

Severability. If any part of these Terms is found invalid, the rest remains in force.

No waiver. If we do not enforce a term, that does not mean we waive it.

Notices. We may contact you by email, in-product messages, or by posting on the Platform.

Entire agreement. These Terms and referenced policies are the entire agreement between you and us about the Platform.
