1. Acceptance of Terms

By accessing or using MonetizeAI (“we,” “our,” “us,” or the “Platform”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other applicable policies. If you do not agree, you must not use the Platform.

You must be at least 16 years old to use the Platform.

2. Overview of the Platform

MonetizeAI is a digital ecosystem enabling users to:

Buy and sell services, digital products, and courses
Build and join communities
Interact with AI tools and recommendations

You may act as a buyer, seller, or both. We provide the infrastructure but are not a party to the transactions between users unless expressly stated.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

Provide accurate and complete information
Keep your login credentials secure
Promptly update your information if it changes

You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts suspected of unauthorised use or breach of these Terms.

4. User Conduct

You agree not to:

Violate any applicable laws or regulations
Post or share illegal, harmful, or abusive content
Infringe on the intellectual property or rights of others
Interfere with the proper functioning of the Platform
Use the Platform to promote fraud, scams, or deceptive practices
Circumvent fees or payment processes

We reserve the right to take action, including suspension or termination, for violations of these rules.

5. Listings and Content

You may upload, create, or share content (e.g. courses, community posts, service descriptions) on the Platform.

By submitting content, you:

Grant us a non-exclusive, royalty-free licence to use, host, display, and distribute your content to operate and promote the Platform
Confirm that you own or have the rights to the content
Accept responsibility for the accuracy, legality, and quality of your content

We do not pre-screen user content, but we may remove content that violates these Terms or our policies.

6. Payments, Fees, and Taxes

MonetizeAI uses third-party processors (e.g. Stripe) to handle payments. By using the Platform, you agree to their terms and conditions.

We charge a commission fee on all transactions (as displayed on the platform)
Buyers may pay a service fee to cover processing and platform usage
All fees are non-refundable unless expressly stated
Users are responsible for any applicable taxes arising from transactions

We may withhold funds or delay payouts to prevent fraud or resolve disputes.

7. Disputes Between Users

MonetizeAI is not responsible for disputes between users (e.g. buyers and sellers). However, we may assist in good faith to facilitate resolution.

If you encounter an issue, we recommend contacting the other party first. You can also contact us for support, and we may take action where appropriate, at our sole discretion.

8. Platform AI Features

MonetizeAI includes AI-powered tools and recommendations. While we aim to provide helpful and accurate insights, you acknowledge that:

AI output may contain errors or inconsistencies
You should not rely solely on AI suggestions for legal, financial, or professional decisions
You remain responsible for verifying any AI-assisted output

We disclaim liability for any decisions made based on AI-generated content.

9. Intellectual Property

All intellectual property rights in the Platform (excluding user content) are owned by or licensed to Alaivi Ltd.

You may not copy, modify, distribute, reverse-engineer, or otherwise exploit any part of the Platform without our written permission.

10. Suspension and Termination

We may suspend or terminate your account if:

You breach these Terms or applicable laws
We believe your actions put us or others at risk
We are required to do so by law or regulatory authorities

Upon termination, your access will be revoked, and we may retain your data as permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law:

MonetizeAI is provided “as is” and “as available”
We do not guarantee uninterrupted, error-free service
We are not liable for indirect, incidental, or consequential damages
To the fullest extent permitted by law, our liability to any user for any claim arising from a single incident will be limited to the greater of £10 or the amount paid by that user in the 12 months prior to the event. In any case, our total liability for all claims arising from the same or related incident shall not exceed £1,000.

12. Indemnity

You agree to indemnify and hold harmless Alaivi Ltd, its officers, employees, and partners from any claims, losses, or damages arising from your:

Use of the Platform
Violation of these Terms
Violation of any law or third-party rights

13. Data Protection

We collect and process personal data as outlined in our Privacy Policy. By using the Platform, you consent to such processing.

We implement reasonable safeguards to protect your data but cannot guarantee absolute security.

14. Changes to These Terms

We may update these Terms from time to time. If we do, we’ll notify you via email or in-app message where appropriate. Continued use of the Platform after updates constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts of England.

Affiliate Programme Terms

Operated by: Alaivi Ltd, trading as MonetizeAI

These Affiliate Programme Terms (“Affiliate Terms”) govern your participation in the MonetizeAI Affiliate Programme (“Programme”) and form part of our wider Terms of Service. By joining the Programme, you agree to be bound by these Affiliate Terms.

1. Eligibility & Enrolment

You must be at least 18 years old and have a valid payout method to join. We reserve the right to approve or reject any application at our sole discretion and may revoke access at any time.

2. Commission Structure

Affiliates earn 20% of MonetizeAI’s platform revenue generated by users they refer.
“Platform revenue” refers to fees earned by MonetizeAI, including:
- Seller commissions (currently 15%)
- Buyer fees (currently 8%)
If you refer both a buyer and seller in a single transaction, you will receive commission from both revenue streams.
Commission applies to all revenue from referred users for the lifetime of their activity, provided the Programme remains active and you remain in good standing.

3. Revenue Variability

MonetizeAI’s fee structure is subject to change at any time, including commission percentages and applicable fees.
Affiliates will always earn a percentage based on the current fee structure at the time a transaction occurs.

4. Payout Terms

Payouts are processed via third-party providers such as Tolt or others as determined by MonetizeAI.
Minimum payout threshold: $50
Payouts operate on a NET-30 basis (i.e. commissions earned in one calendar month are paid 30 days after month-end).
You are responsible for ensuring accurate payout details.

5. Referral Attribution

Referrals are tracked using cookies and backend systems.
Cookie duration is 14 days, but final referral attribution is locked on user sign-up or first payment.
If a referred user clears cookies or uses a different device, attribution may not occur unless tied to the user account.
Attribution is not guaranteed without a valid cookie, referral link, or backend match.

6. Fraud & Abuse

You may not:

Create fake or duplicate accounts to trigger commissions
Refer yourself or persons you share financial details with (e.g. same Stripe or payout account)
Use deceptive, spammy, or misleading tactics
Incentivise sign-ups in unauthorised ways (e.g. cashback, fake bonuses)

We reserve the right to withhold or cancel commissions suspected to be fraudulent or in breach of these Terms. Severe breaches may result in account suspension, termination, and legal action.

7. Programme Changes & Termination

We reserve the right to:

Change commission rates or fee structures at any time
Discontinue or modify the Programme without prior notice
Deny payouts for activity found to be fraudulent, abusive, or non-compliant
Terminate your participation at any time, with or without cause

If the Programme ends, you will be paid for all valid commissions earned prior to termination, provided they meet the payout threshold and are not disputed or fraudulent.

8. No Guarantee of Earnings

Participation in the Programme does not guarantee income. Commissions depend on actual referred user activity and MonetizeAI revenue, which may fluctuate or vary.

9. Tax Responsibility

You are responsible for declaring and paying any applicable taxes on affiliate earnings. We do not provide tax advice and may issue documentation where required by law.

10. Governing Law

These Affiliate Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
